1. Organizers
The Seventh International exhibition and scientific conference on hydroaviation GIDROAVIASALON '2008 will be held at the territory of Gelendzhik experimental-test base of Beriev Aircraft Company and Gelendzhik airport. This event is organized by the Federal Industry Agency. The exhibition and the conference is prepared and conducted by in the Gidroaviasalon Ltd.

2. Dates

Applications deadline: July 1, 2008
Full payment deadline: August 11, 2008
Construction: August 28 - September 3, 2008

3. Application to Exhibit
The main documents that determine the participation in GIDROAVIASALON '2008 are:
1. Application form for participation in the Exhibition and/or scientific conference;
2. General conditions of participation in Gidroaviasalon;
3. Agreement with appendices ( named "Agreement") finishes with the performed work report;
4. The instructions for pilots participating in demonstration flights.
5. Trade regulations.
With the Application Form signed the Exhibitor confirms his intention to participate in the Exhibition and accepts the General Conditions of Participation as an integral part of the Agreement. The Application form should be submitted to the Gidroaviasalon Administration before the deadline specified in the application form.
The date when the Application form is considered to be submitted is the date when it is received by the Gidroaviasalon Administration.
To reserve the exhibition space and chalets at GIDROAVIASALON '2008 in advance and to be registered as an Exhibitor the Applicant can send to the Gidroaviasalon Administration the letter of guarantee written on the Company Form.
The deadline for receiving the applications is July 1, 2008.

4. Registration
To be registered as a Exhibitor of the Exhibition GIDROAVIASALON '2008 the Exhibitor it is necessary to fill in the Application Form and/or the Agreement and send it to the Gidroaviasalon Administration address according to the data (the contact person, address, telephone number) intended for correspondence. For an efficient work the Fax connection can be used, but the original version of the Application form/Agreement and full set of the documentation should be submitted to the Exhibition Administration before the deadline specified in the application form. On signing the Application form and/or the Participation Agreement the Exhibitor confirms the fact of having been acquainted with the Participation Conditions and accepts all their paragraphs, also these Conditions are accepted by all the officials of the Company and the organizations employed for the works on the stands and all the co-exhibitors having their exhibits on the stand of the main Exhibitor.
The registration of a company as an Exhibitor is conducted only after the 25% advance payment for the rented exhibition space is paid.
The Exhibitor must observe work laws, trade rules, environment protection laws and technical safety rules.
After the registration any information of general availability about the Exhibitor can be gathered and analyzed and if necessary used in favour of the third party for the organization of a Trade fair or Exhibition. On being requested by the Exhibition Organizer the Participant has to take part at any type of interviews and agree for the presentation of any information about him in mass media including the Internet.
After the registration of the Application, the ensuring liabilities will be legally binding for the Gidroaviasalon Administration even if the exhibits do not arrive at the exhibition in time (e.g. due to loss, delayed transport or customs clearance) or do not arrive at all, or if entry visas for the Exhibitor or his representatives are not issued in time or not issued at all.

5. The Participation Permission
If it is necessary for the Exhibitor to get the appropriate authorities permission for participation, the Exhibition Administration will allow the Exhibitor and his exhibits to be exposed at the Exhibition only after the submission of the aforenamed permission to the Exhibition Administration. Any reserving or other paragraphs of the Agreement to come into force should be approved by the Exhibition Administration. If the necessary information and papers of confirmation are not presented at all or in time the only party responsible for that is the Applicant/Exhibitor.
The Exhibition Administration can refuse the admittance for Exhibition Participation only because of lawful circumstances for example: the absence of unoccupied space. The Exhibition Administration has the right to limit the admittance to the Exhibition of the exhibits and to control the order of the Exhibitor accommodation on the stand and matching of real sizes of the space with the paid ones. The Participation admittance is given only to the registered Exhibitors and those having allowance for the participation and paying the fee for the Exhibition space. Other unregistered participants are not allowed to participate.
The Exhibitor must have full rights for the demonstration of the exhibits listed in the Application and the license if they are necessary. On being asked the Exhibitor must present booklets and other informative materials for the exhibited goods and services.

6. Stand Allocation
Gidroaviasalon Administration allocates stands in accordance with the subject and the layout of this Exhibition, and depending on the space available. Specific stand requirements will be considered where possible. While allocating the Exhibition space the date of Application receiving is not taken into account by the Exhibition Administration.
The Exhibition Administration has the right to change the area and shape of the reserved space if necessary. In that case the Administration should inform the Exhibitor about the necessity of aforesaid actions at once and offer the identical space (stand) to the Exhibitor if it is possible. If there is any change appeared in the cost of the space the Administration must return the rest of money to the Exhibitor or submit the calculation of additional payment. On receiving the notice about the change in price the Exhibitor has the right to take back his Application within one week. The compensation claims are not accepted by the parties if the Exhibitor agrees with the changes in the space and allocation of other stands near his stand after his agreement with the Exhibition Administration about the allocation of his stand, but no claims can be sent in to the Administration's address with taking into account all the aforesaid things.
The Exhibitor has no right to exchange the Exhibition space with other Exhibitors or transfer it in favour of the third party wholly or partly without the permission of the Exhibition Administration.
Any changes and additions concerning stand layout will be reviewed only after receiving the appropriate application written by the Exhibitor and should be properly formalized before July 1, 2008.
An exhibition stand must comply with the layout of the exhibition and serviced by suitable professionals during opening hours. The Gidroaviasalon Administration reserves the right to prohibit the construction of the inadequately equipped stands. A stand must be 3m or 6m deep. (The opportunity of nonstandard spaces presenting is possible after being agreeable to with the Exhibition Administration.)
List of equipment included in 9 sq.m of shell scheme exhibition area: carpeting, lateral and rear wall panels, inscription on fascia board (up to 10 symbols), two spot lights, one table, two chairs, one electrical socket, one wall coat rack, one waste paper basket.
Replacement of equipment of shell scheme stand not provided.
The equipment and space are giver for temporary usage and should be returned after the Exhibition is over.

7. Co-Exhibitors and Joint Stands
If some Exhibitors have plans to rent a space together they should elect their representative for filling in the Application. All the negotiations are carried on only between the elected representative and the Administration.
The Co-exhibitors are all the companies exhibiting at the stand of the main Exhibitor. The Co-exhibitor shall be subjected to the same conditions as the main Exhibitor and may pay for his participation at the Exhibition by himself.
On being registered and paying the Registration fee the Co-exhibitor gets the Exhibitor's status and rights.
The main Exhibitor should submit to the Gidroaviasalon Administration the full list of all Co-exhibitors and also the layout of the rented space specifying the location of co-exhibitors before July 1, 2008.
The Exhibitor must not transfer space allotted to him or its parts to third parties for payment or free of charge, or exchange the allocated stand with other Exhibitor without prior written consent of the Gidroaviasalon Administration.
The exhibitor registered as the main Exhibitor shall be liable to the Gidroaviasalon Administration for the Co-exhibitor fees and damages caused by the Co-exhibitor. The main Exhibitor is liable for the Co-exhibiter's fulfilling of all obligations prescribed by the Conditions.
Without taking into account how and whom the fee was paid by, each Exhibitor and Co-exhibitor must pay the Registration fee and submit information about himself as it is prescribed by the Participation Agreement.

8. Stand-building
Exhibition stands and chalets construction and equipping activities are performed in accordance with the Agreements made between the Exhibitor and Gidroaviasalon Ltd.
In case construction and equipping of the exhibition stands and chalets are performed by the Exhibitor or other specialized organizations engaged by the Exhibitor ("Stand-builder"), Gidroaviasalon Ltd. will take an extra charge in accordance with the construction/installation Agreement negotiated between the "Stand-builder" and Gidroaviasalon Ltd.
All the data about the "Stand-builder" should be submitted to Gidroaviasalon Ltd. by the Exhibitor before or on July 1, 2008. After that the Exhibitor will be provided with the construction/installation Agreement with the Appendix. To negotiate the Agreement, the "Stand-builder" must get the accreditation at Gidroaviasalon Administration.

9. Exhibits
Only exhibits indicated in the list of exhibits and having appropriate documents allowing to demonstrate these exhibits at the international shows may be exhibited.
After having formalized the documents allowing the demonstration of the Exhibitor's military products in accordance with the President Decrees No 1953 dated 01.12.2000 and No 1417 dated 10.12.2001, the Exhibitor demonstrating the specimen of military products and dual-purpose products, must submit before June 1, 2008 the data concerning the specimen to be demonstrated to the appropriate authorities in order to include them into the general list of military and dual-purpose products that are allowed to be exhibited at GIDROAVIASALON '2008. This list will be approved according to the established procedure.
Exhibits that are not included in this list will not be allowed to be demonstrated at the GIDROAVIASALON '2008.
As for Foreign Exhibitors, all exhibits that present military technology are subjected to licensing. For simplifying the customs procedures and getting licenses in time, the Exhibitor should deliver to Gidroaviasalon Administration the List of exhibits that present military technology and dual-purpose Exhibits before or on July 1, 2008, or fill-out and sign the obligation that his exposition does not contain any specimen that presents the military technology and dual-purpose specimen.
The following exhibits are prohibited: combat weapons, live ammunition, explosives, radioactive materials or external tanks containing fuel or air-fuel mixture anywhere within the exhibition areas or on any aircraft entering or departing the exhibition site.
Gidroaviasalon Administration can insist upon removal of the exhibits if they were not included into the relevant List of exhibits, if they constitute annoyance or hazard or if they are not compatible with the objectives of the event. If the Exhibitor does not respond adequately, Gidroaviasalon Administration reserves the right to remove such kind of exhibits at the Exhibitor's expense, undertaking if necessary lawful measures.
Exhibits should not be moved to other exhibition areas without the Gidroaviasalon Administration approval. The exhibits may only be substituted or replaced within the hour before or the hour after the daily opening time of the Exhibition.
Exhibits may not be removed before the end of the Exhibition without the Gidroaviasalon Administration written approval.

10. Cost and terms of payment
The Exhibitor will be charged for the following items:
- Exhibitor registration fee and Entry into the Official Catalogue (mandatory).
- Exhibition space, chalet, aircraft parking area rental;
The registration fee for participants of the scientific conference includes the services of Administration and personnel; publication of reports and abstracts in Russian and English in the collection of conference reports; one collection of reports; services of a simultaneous interpreter at the conference; one "Exhibitor" pass for the exhibition (the pass is valid for all the Exhibition working hours and enables the visits both to the Scientific Conference and the Exhibition).
The registration fee for Exhibitors includes the services of Administration and exhibition personnel (ticket collectors, inspectors, electricians on duty, sanitary equipment specialists, etc.)
The space rental includes charges for the following services:
- maintaining order provision and fire protection;
- general exhibition area security;
- general lighting of the exhibition space;
- cleaning of the Exhibition area, of the passage ways in the halls and open-air grounds;
- removal of waste during the construction, holding and dismantling phases.
The following services are available for the additional charge:
- installation of stand equipment fascia board with company name;
- telephone, fax;
- water and electric power supplies;
- exhibition entry passes for the Exhibitor's representatives;
- vehicle passes;
- other services according to the Agreement;
- audio and video equipment (under a separate agreement);
- advertising for the third party within the Exhibitor's rented stand.
All the equipment is given to the Exhibitor for the temporary usage only for the time of participation in the Exhibition and after the Exhibition is over the equipment must be given back to its owner.
If the Gidroaviasalon Administration offers services by third parties on the basis of direct agreements, it assumes no responsibility, guarantee or liability.
The advance payment (25% of the space rental and the registration fee) must be paid by the Exhibitor in accordance with the invoice not later than the date specified in the invoice.
The advance payment (deposit) will not be reimbursed.
Final payment for the participation in GIDROAVIASALON '2008 is performed by the Exhibitor in accordance with the invoice after the Agreement has been signed by both parties not later than August 11, 2008.
VAT is not included into the above-said payments and is to be paid additionally.
In case of delayed payment, the payment will be charged in a double amount. All the payments are to be effected in roubles.
The right to occupy the stand will only be secured after all terms of payment have been met. If the Exhibitor fails to meet the payment deadlines, the Gidroaviasalon Administration is entitled to withdraw the Agreement. The Exhibitor will not be reimbursed for remittances already made.
If the Exhibitor fails to meet any obligations, the Gidroaviasalon Administration is entitled to retain the stand equipment and exhibits after having informed the Exhibitor about its intentions in written form.
In case the Gidroaviasalon Administration has not provided completely the ordered services already paid for, the Exhibitor's claims can be submitted to the Gidroaviasalon Administration only during the working days of the event. All the claims can be delivered by the Exhibitor agent to the Gidroaviasalon administration in written form. The written claims must be signed by the Administration representative. Only in this case the payment will be reimbursed to the Exhibitor.
In other cases the claims will not be accepted.

11. Discounts and additional payments
If all the payments for participation in GIDROAVIASALON '2008 are completed (in compliance with the Agreement) until June 1, 2008, Gidroaviasalon Administration allows Exhibitor 10% discount from space areas rent.

12. Withdrawal from the Agreement
Withdrawal from the Agreement or part of the Agreement by the Exhibitor can be carried out by the Exhibitor's submission of an application in written form. It becomes effective after the Gidroaviasalon Administration receives the application. In this case, 50% of the participation fee will be refunded to the Exhibitor provided the Gidroaviasalon Administration is notified after the registration, but not later than 4 weeks prior to the opening of the Exhibition. If the Agreement is cancelled after the specified time period, the sums remitted by the Exhibitor will be forfeited.
If Co-exhibitor cancels participation in the Exhibition, the Co-exhibitor's rental must be paid in full by the main Exhibitor.
Withdrawal from the Agreement by the Gidroaviasalon Administration can be carried out in the following circumstances:
- if full payment for the rental has not been paid until August 11, 2008 in compliance with the Agreement;
- if the Exhibitor repeatedly defies safety, order and flight operation instructions and requirements;
- if the Exhibitor participating in demonstration flights refuses to submit insurance certificate and to pay for the subsequent insurance;
- if a stand is not obviously equipped in time, i.e. 24 hours before the official opening of the Exhibition or a stand is not obviously occupied in 24 hours after the opening;
- if items other than those listed in Exhibition profile are displayed.
In case of withdrawal from the Agreement by the Gidroaviasalon Administration the Exhibitor is not entitled to reimbursement of the fees paid.

13. Construction and dismantling
Construction and dismantling is performed in terms stated in item 2 of these General conditions of participation and must be serviced by qualified personnel. Exhibitors are responsible for providing security cover for their equipment and exhibits during construction and dismantling. Packing materials should be removed or registered in the storehouses (payment by price list) 1 day before the opening of the Exhibition.
Exhibits should be installed and dismantled by the Exhibitor.
If dismantling work is not finished in time, Gidroaviasalon Administration is entitled to remove the exhibits or place them in storage at the Exhibitor's expense. The Exhibitor should pay storage costs according the existing prices at the storehouse.
At the end of the Exhibition the Exhibitor should return to the authorized person of Gidroaviasalon Administration the rented space and equipment in good condition. Otherwise, the Exhibitor should cover the caused damage.

14. Security cover and cleaning
Exhibitors are responsible for providing security cover for their exhibition stands. They are advised to take out suitable insurance to cover any damages that may occur. Valuable, easy removed objects should be locked up at night. Exhibitors are responsible for cleaning their stands. This work must be completed every day before the Exhibition opens (8.00 - 10.00).
If the Exhibitor does not employ his own staff for cleaning, this work should be ordered to Gidroaviasalon Administration under the Agreement. Exhibitors are responsible for removing waste during the period of construction and dismantling. Gidroaviasalon Administration can provide advice on this matter.

15. Technical conditions
The following is provided:
- Power supplies: 220/380V, 50 Hz
The exhibits critical to voltage oscillations shall be used with their own voltage stabilizers
- Water supply and drainage
Technical requirements should be submitted on the stand layout scheme strictly in the indicated time and shall be agreed upon with Gidroaviasalon Administration.
Due to safety requirements, all the work concerning electrification and water supply is to be carried out by the Gidroaviasalon Ltd. specialists.
Earthwork to lay cables, pipes, etc. is not permitted.
The Exhibitor is responsible for providing and meeting requirements of Federal Law "Labor Safety in the Russian Federation" and Labor Code of the Russian Federation.

16. Entrance passes: VIP entrance passes, duty entrance passes and vehicle passes
The original and electronic versions of claims for all types of entrance passes, for the "Exhibitor" category entrance passes purchased additionally and also for the motor transport passes giving the right to get to the stopping places of the Exhibition complex must be submitted to the Exhibition Administration before July 1, 2008. In the case of the aforesaid claims submitting or their changing after August 11, 2008 the fee for the entrance passes of all the types may become higher and the Exhibition Administration doesn't guarantee in-time obtaining of the passes for the Exhibitors.
The dates of validity are written in the passes. It is strictly prohibited to present the pass to other persons.
Vehicle entrance passes
- VIP motor transport entrance passes
"VIP motor transport" category entrance pass is issued only after special permission of the Exhibition Administration and according to the list agreed upon with the Chairman of the Organizing Committee. This pass enables the right to get to the Exhibition territory and park on the stopping place in the Exhibition territory and also the possibility to get to the territory of the Exhibition or to leave it during the Exhibition working hours (these rights can be restricted partially or completely for some period of time under the direct demand of the Exhibition Administration per - force). It can be obtained only by the persons having "motor transport" category entrance passes.
- Motor transport entrance passes
It is available only for the Exhibitor having paid the fee. The quantity of these passes is limited. When submitting the claim after August 11 the fee will be doubled or the claim may be rejected.
The pass of this category enables to get on to the Exhibition territory and park on the stopping place 'A' at the Exhibition working hours without the right to leave the territory of the Exhibition or get on to it during the Exhibition working time. (these rights can be restricted partially or completely under the direct demand of the Exhibition Administration)
- Vehicle entrance passes
"Vehicle" category passes enable the right to get to the Exhibition territory daily before the Exhibition working day beginning and after the working day is over and to park vehicles out of the territory of the Gidrobase at special places.
Passes
- VIP entrance passes
The Exhibitor is provided with VIP entrance passes only in compliance with the list agreed upon.
- Entrance passes for workers
Each Exhibitor will be provided free of charge with workers passes for the Exhibitor's representatives and for ancillary staff employed during construction and dismantling as well as with vehicle passes. The Exhibitor should provide the Gidroaviasalon Administration with the complete list of workers and ancillary staff not later than August11, 2008.
- Exhibitors' personal passes
There are different types of passes available for the Exhibition's personal:
- The Exhibitor
- The Pilot
- The Personal
- The Scientific Conference
The Exhibitors may receive a number of personal EXHIBITOR passes in dependence of rented space:
- less than 9 sq m - 1 pass;
- from 9 to 15 sq m - 2 passes;
- over 15 sq m - 3 passes;
- each additional 10 sq m - plus 1 pass;
Exhibitor may receive 10 passes for chalet servicing;
For 1 aircraft maintenance Exhibitor may receive 3 to 5 duty passes (in dependence of aircraft type).
In the Appendix (Passes) to the Agreement the Exhibitor should write the quantity of the passes and their category.
If extra Exhibitors' personal passes are required, Exhibitor may purchase them for additional fee (see Agreement) but not more than 100% of total number of free of charge passes.
Only personnel working at stands, in chalets, at aircraft parking area is provided with "the EXhibitor" category passes. These passes are valid for the period of assembling, holding and disassembling of the Exhibition. Transfer of a pass to another person is strictly prohibited.
- Business visitor's passes
Exhibitor may purchase single entry Business Visitor's passes (for participating specialists, guests, etc.) for additional fee.
This category passes are valid for only one working day of the Exhibition.
To get the passes the Company's representative should have the original version of the Form 6.

17. Flight Authorization
Aircraft shall include airplanes, helicopters, gliders, powered gliders, free and tethered balloons, kites, parachutes, flying aircraft models, air sports equipment and other equipment intended for use in air space (in compliance with Air Traffic Regulations.)
Exhibitors presenting aircraft should fill out Form 5 from the set of documents (for each aircraft). Having received this Form 5, the Gidroaviasalon Administration will provide the Exhibitor with information for pilots participating in demonstration flights.
To receive approval for the aircraft arrival, the following documents should be submitted to the Flying Control Committee:
- A Certificate of Airworthiness for the aircraft;
- The compulsory types of insurance documents in compliance with item 18 of these General conditions of participation.
To take part in flight display, the following documents should be submitted:
- Pilot-in-command application for participation in flights as per GIDROAVIASALON '2008 program;
- A valid license or certificate for the type of aircraft to be flown;
- A medical certificate;
- The compulsory types of insurance documents in compliance with item 18 of these General conditions of participation;
- Description and scheme of main demonstration flight as well as supplementary one in case of bad weather approved by organization manager;
- Advertising (speaker's) text for flight display and aircraft characteristics.
Gidroaviasalon Administration may provide you with additional information.

18. Insurance
The compulsory types of insurance at GIDROAVIASALON '2008, without which the participants would not be admitted to training and demonstration flights are as follows:
- Third-party liability insurance of the Exhibitor against damages caused to the health or property of third parties for the insured sum not smaller than the following ones, which depends on the take-off weight of aircraft:
- from 0 to 8 tons - 30 million roubles;
- from 8 to 30 tons - 150 million roubles;
- from 30 to 110 tons - 300 million roubles;
- over 110 tons - 750 million roubles;
- Insurance of passengers and other persons taken onboard the aircraft during performing the flight against death and injuries as a result of an air-accident for the insured sum of 20000 USD per passenger;
- Insurance of flight personnel life and health against death or injuries as a result of an air-accident for the insured sum of 600,000 roubles per crew member.
The recommended types of insurance at GIDROAVIASALON '2008 are as follows:
- Insurance of property of GIDROAVIASALON '2008 Exhibitors, displaying exhibits, models, mockups, stands and aircraft including those performing flights;6 work;
- Third-party liability insurance of the Exhibitors during the period of GIDROAVIASALON '2008 work.

19. Exhibition Catalog
The official Catalog will be published by the opening of the Exhibition. Catalog mandatory entry price is given in Agreement, publication requirements - in Cataloque form.
Each Exhibitor will be provided free of charge with one copy of the Catalog.

20. Advertising, Filming and Photography
The advertising of all kinds is allowed only within the stand rented by the Exhibitor and only in the interests of Exhibitor's company.
Positioning of the advertisements on the territory of the exhibition is performed as per special Agreement with the Gidroaviasalon Administration. Taking photographs, films and video recording with the professional equipment should be made only with written permission of the Gidroaviasalon Administration. Exhibitors are not permitted to interrogate visitors to find out their opinions outside the area of rented stand.
Exhibition Administration is entitled to arrange for photographs, films or video recording of events at the exhibition and also to make drawings of any event at the exhibition, structures, stands, exhibits and persons present and to use these for advertising or press releases. No objections to this may be raised by the Exhibitors for any reasons. This also applies to recording made by press or television crews with the approval of Gidroaviasalon Administration. In this case, Exhibitors agree to waive all claims based on copyright infringement.

21. Direct Sales and souvenir trade
Direct sales (stand sales) of small goods, magazines, books, model aircraft, etc. will be permitted through purchasing the Trade Permission at the Gidroaviasalon Administration. Otherwise, the Exhibitor will be fined in compliance with Trade regulations. The Exhibitor may sell souvenirs in compliance with Trade regulation.
Information on Trade rules at the GIDROAVIASALON '2008 can be obtained at the Gidroaviasalon Administration.

22. Non-compliance with conditions of participation
In case Exhibitor infringes any condition of these General conditions of participation, Gidroaviasalon Administration is entitled to cancel the Agreement for participation in Exhibition. The sums remitted by the Exhibitor will be forfeited.
At the working hours of the Exhibition there should be constantly a Representative of the Company near the stand of the Exhibitor. The Participant is not allowed to leave the territory of the Exhibition, dismantle the stand, take off the exhibits before the Exhibition is over without special permission of the Exhibition Administration.
The dismantling of the stand and taking the exhibits out are allowed only after 16.00 September 7, 2008.
In case the Exhibitor infringes the aforesaid Conditions the Exhibitor can be imposed with a 5 to 15% fine of the paid Participation fee.

23. Force Majeure
If, for reasons of force majeure, Gidroaviasalon Administration is obliged to shorten or cancel an event that is already in progress or to limit flight demonstrations, Exhibitors shall not be entitled to claim reimbursement, paid for the event, as well as partial pay back for stand rental.

24. Conclusion
By submitting the application for participation and concluding the Agreement for participation in the Exhibition, the Exhibitor acknowledges these Conditions of Participation in all points. Any additional agreements, special permissions or other regulations are subjected to written approval of the Gidroaviasalon Administration.

25. Place of Jurisdiction
For both parties of the Agreement, the place of jurisdiction will be the Arbitration Court in Rostov-on-Don.
